Summary

We are seeking a highly organized and experienced Legal Operations & Corporate Paralegal to join our in‑house corporate legal team. This is a hands‑on, cross‑functional role that blends two equally important areas of responsibility: keeping the legal department running efficiently and effectively on the operations side, and supporting a range of corporate governance, entity management, and business licensing activities. This position requires a strong understanding of legal operations and corporate administrative processes, and the organisational instincts to manage complex, confidential workstreams with minimal supervision. This position is eligible for a hybrid schedule based out of our Dallas, TX Headquarters.

Essential Duties & Responsibilities
Corporate Matters
  • Manage corporate entity compliance activities, including registrations, annual reports, state qualification filings, and business license renewals across multiple jurisdictions.
  • Track filing deadlines and maintain entities in good standing with applicable state and regulatory agencies.
  • Prepare and coordinate formation, dissolution, and qualification filings for corporations, LLCs, and other business entities.
  • Oversee registered agent services and maintain organisational structure and corporate entity records.
  • Support corporate governance activities, including preparation of board resolutions, maintenance of corporate records, and documentation of administrative processes and procedures.
  • Research licensing, registration, and compliance requirements related to expansion into new markets and new business lines.
  • Assist with Know Your Customer (KYC) requests by gathering, organising, and providing corporate documentation and information.
Legal Operations
  • Support day‑to‑day legal operations through administration and management of legal technology platforms, including Legal Tracker, CLE software, legal hold systems, and Westlaw.
  • Maintain and update legal department intranet content and ensure adherence to records management and retention procedures.
  • Coordinate with cross‑functional teams to support enterprise records retention and information governance initiatives.
  • Manage legal department accruals, budgets, invoices, and vendor relationships, including monitoring outside counsel spend through Legal Tracker.
  • Assist in the administration of relationships with outside law firms, consultants, and other legal service providers.
  • Collect, organise, and analyse legal department data to support reporting, dashboards, matter tracking, and key performance indicators (KPIs).
  • Prepare reports and presentations for senior leadership regarding legal matters, trends, expenditures, and operational metrics.
  • Identify process improvement opportunities within the legal department and assist with workflow optimisation and knowledge management initiatives.
  • Support legal department training coordination, CLE tracking, and other administrative and operational functions as needed.
Education & Experience
  • Paralegal certificate or equivalent combination of education and relevant experience required.
  • Minimum of 5 years of paralegal and legal operations experience, preferably within an in‑house legal department.
  • Demonstrated experience with corporate governance, entity management, business licensing and state filing requirements.
  • Proficiency with Legal Tracker, Exterro and DocuSign required.
  • Strong organisational and project management skills with the ability to manage multiple priorities and deadlines simultaneously.
  • Ability to handle sensitive and confidential information with discretion and professionalism.
  • Proven ability to exercise sound judgment and work independently with minimal supervision.
